Terms of Service
ElyChat Terms of Service
Effective Date: September 24, 2026
Last Updated: September 24, 2026
These Terms of Service (the “Terms”) are a binding agreement between you and Elytron Biotech Corporation (“Elytron,” “we,” “us,” or “our”) governing your access to and use of ElyChat, including its website, software, conversational interface, bioinformatics pipelines, sequence-processing tools, models, APIs, outputs, and related services (collectively, the “Service”).
By creating an account, clicking to accept these Terms, or accessing or using the Service, you agree to these Terms, our Privacy Policy, our Acceptable Use Policy, and our AI & Bioinformatics Disclaimer, each incorporated into these Terms by reference. If you do not agree, do not use the Service.
If you use the Service on behalf of a company, university, laboratory, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” includes that organization.
1. Eligibility and Accounts
You must be at least 18 years old and legally capable of entering into a binding agreement to use ElyChat.
You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring through your account. You must provide accurate account information and promptly notify us at info@elytronbiotech.com if you believe your account has been compromised.
You may not share credentials in a manner that circumvents account, usage, or subscription restrictions.
2. Purpose of ElyChat
ElyChat is a computational research and information tool designed to process and analyze non-human bacterial and fungal biological sequence data and to allow users to interact conversationally with computational analyses of that data.
ElyChat is not a clinical, medical, diagnostic, veterinary, regulatory, legal, patent, biosafety, or professional advisory service. It is not a substitute for qualified professional review, experimentally validated methods, or independent verification.
3. Permitted Sequence Data; No Human Sequence Data
The Service is intended only for bacterial and fungal sequence data.
You must not upload:
- human genomic, transcriptomic, exomic, epigenomic, or other human sequence data;
- sequence data intentionally derived from human subjects;
- files known to contain human reads or human-identifiable sequence content unless such content has first been removed using an appropriate validated process;
- sequence data that you are not legally authorized to upload, analyze, or provide to Elytron; or
- content that violates the Acceptable Use Policy.
You are solely responsible for determining whether your data satisfies these requirements before uploading it.
Elytron may suspend processing, restrict access, or remove content that it reasonably believes violates these Terms.
4. User Content and Your Rights
“User Content” means files, FASTA files, nucleotide or amino-acid sequences, assemblies, annotations, metadata, prompts, messages, documents, feedback, and other information that you submit to or through the Service.
As between you and Elytron, you retain any ownership rights you may have in your User Content. Uploading User Content does not transfer ownership of the original User Content to Elytron.
You represent and warrant that:
- you own the User Content or have all rights, permissions, licenses, and authorizations necessary to provide it to Elytron;
- your submission and Elytron’s permitted use of the User Content will not violate any contract, confidentiality obligation, intellectual-property right, trade-secret right, law, regulation, permit, biological-resource access requirement, or third-party right; and
- the User Content complies with these Terms and the Acceptable Use Policy.
You must not upload third-party confidential information, proprietary strain information, unpublished sequence data, trade secrets, or other restricted material unless you are authorized to grant Elytron the rights described in these Terms.
5. License and Data Use Rights Granted to Elytron
By submitting User Content to the Service, you grant Elytron a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, copy, transmit, reproduce, process, transform, analyze, annotate, index, compare, combine, and otherwise use the User Content as necessary to provide, operate, maintain, secure, monitor, support, and improve the Service.
Unless a separate written agreement with Elytron expressly states otherwise, you also authorize Elytron to use User Content, including uploaded bacterial and fungal sequence data, prompts, conversations, analyses, and information derived from them, for lawful purposes including:
- improving, testing, evaluating, validating, and benchmarking ElyChat;
- developing and improving bioinformatics pipelines, annotation systems, computational methods, reference resources, databases, algorithms, machine-learning systems, and artificial-intelligence systems;
- training, tuning, evaluating, and improving models and software used by Elytron;
- internal scientific and technical research and development;
- developing new products, services, features, analytical methods, models, datasets, technologies, and commercial offerings;
- quality assurance, debugging, security, abuse prevention, and reliability testing;
- generating statistical, aggregated, transformed, or de-identified datasets and analyses; and
- other lawful internal business, scientific, product-development, and commercialization activities consistent with these Terms and our Privacy Policy.
Elytron may retain and use aggregated, transformed, statistical, model-derived, or de-identified information that does not reasonably identify your account or organization, including after deletion of the original file or closure of your account, to the extent permitted by applicable law.
Elytron may also retain improvements, parameters, model updates, benchmarks, methods, insights, know-how, and other developments resulting from operation of the Service, provided that Elytron does not represent that it owns your original User Content solely because it was submitted to the Service.
Elytron does not sell individual uploaded FASTA files as standalone genomic datasets to third parties. Nothing in this sentence restricts Elytron from developing, licensing, providing, or commercializing products, models, algorithms, analytical systems, databases, methods, or services that were developed or improved using User Content as permitted by these Terms.
If you require restrictions such as no model improvement, no R&D use, isolated processing, special retention terms, or contractual confidentiality, those restrictions must be stated in a separate written enterprise or data agreement signed by Elytron.
6. No Confidential Relationship by Default
Unless you and Elytron have entered into a separate written confidentiality agreement, enterprise agreement, or other agreement expressly providing confidentiality obligations, use of the standard ElyChat Service does not create a confidential, fiduciary, attorney-client, physician-patient, research-collaboration, joint-venture, partnership, or similar relationship.
You should not upload information requiring protections beyond those expressly provided in these Terms and the Privacy Policy.
7. Outputs
“Outputs” means responses, annotations, summaries, classifications, predictions, searches, alignments, inferred functions, candidate genes, pathways, taxonomic assignments, scores, citations, interpretations, recommendations, or other content generated or presented by the Service.
Subject to these Terms and applicable law, you may use Outputs generated for you. Elytron retains all rights in the Service, its software, models, algorithms, pipelines, architecture, databases, workflows, prompts, methods, and underlying technology.
Outputs may not be unique. Other users may receive identical or similar outputs. Elytron makes no representation that an Output is novel, protectable, non-infringing, patentable, commercially exploitable, or suitable for any particular purpose.
8. IMPORTANT: Research Tool; Outputs May Be Wrong
ELYCHAT IS PROVIDED AS A RESEARCH AND INFORMATION TOOL. THE SERVICE AND ALL OUTPUTS MAY CONTAIN ERRORS, OMISSIONS, FALSE POSITIVES, FALSE NEGATIVES, INCORRECT ANNOTATIONS, INCORRECT TAXONOMIC OR FUNCTIONAL ASSIGNMENTS, SOFTWARE OR DATABASE ERRORS, MODEL HALLUCINATIONS, OUTDATED INFORMATION, INCOMPLETE INFORMATION, OR OTHER INACCURACIES.
Computational predictions do not establish biological function, phenotype, safety, efficacy, pathogenicity, virulence, antimicrobial resistance, metabolic activity, regulatory status, freedom to operate, novelty, or experimental validity.
YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY REVIEWING, VERIFYING, AND VALIDATING ALL OUTPUTS BEFORE RELYING ON THEM. Appropriate verification may include review by qualified personnel, inspection of source data and references, use of independent software, and laboratory or field validation as appropriate.
ANY USE OF OR RELIANCE ON THE SERVICE OR OUTPUTS IS AT YOUR SOLE RISK. You are solely responsible for decisions, experiments, research, publications, regulatory submissions, product development, commercial activities, laboratory work, field work, biosafety decisions, intellectual-property decisions, and other actions taken based on or informed by the Service or Outputs.
9. No Professional, Regulatory, Medical, or Safety Advice
ElyChat does not provide medical, clinical, diagnostic, veterinary, legal, patent, regulatory, biosafety, biosecurity, laboratory-safety, or other professional advice.
You must not rely on ElyChat as the sole basis for decisions that could affect human or animal health, environmental safety, regulatory compliance, biosafety containment, laboratory safety, product release, or other high-consequence activities.
10. Acceptable Use
You must comply with the ElyChat Acceptable Use Policy.
Without limiting that policy, you may not use ElyChat to:
- violate law or third-party rights;
- upload human sequence data;
- gain unauthorized access to systems or data;
- facilitate biological harm or intentionally increase the ability of a biological agent to cause disease or evade detection, treatment, containment, or control;
- design, develop, optimize, or operationalize biological agents, toxins, or systems for harmful purposes;
- misrepresent Outputs as experimentally validated when they are not; or
- interfere with, reverse engineer, scrape, overload, or circumvent technical restrictions of the Service, except to the extent such restriction is prohibited by law.
11. Third-Party Services and Data Sources
The Service may rely on or interact with third-party software, models, databases, publications, APIs, cloud infrastructure, or other resources. Third-party content may be inaccurate, unavailable, incomplete, changed, or subject to separate terms.
Elytron does not control and is not responsible for third-party services or content. References or links do not constitute endorsement.
12. Service Changes, Availability, and Data Loss
We may modify, update, suspend, discontinue, limit, or change any part of the Service at any time, including features, models, databases, pipelines, limits, or pricing.
We do not guarantee uninterrupted availability, processing time, storage duration, preservation of files, reproducibility across versions, or compatibility with any particular data format or workflow.
You are responsible for maintaining independent backups of all User Content and Outputs that you wish to preserve. ElyChat is not a backup or archival service.
13. Fees and Subscriptions
If paid features are offered, applicable fees, billing periods, renewal terms, and cancellation rules will be presented at purchase or in an applicable order form. Unless required otherwise by law or expressly stated, fees are non-refundable once incurred.
Taxes may apply. You are responsible for applicable taxes other than taxes based on Elytron’s net income.
14. Intellectual Property
Elytron and its licensors own all rights, title, and interest in and to the Service and its underlying technology, including software, source code, interfaces, designs, models, pipelines, databases, methods, documentation, trademarks, and improvements.
Except for the limited right to use the Service under these Terms, no rights are granted to you by implication, estoppel, or otherwise.
If you provide suggestions, ideas, bug reports, feature requests, or other feedback, you grant Elytron a perpetual, irrevocable, worldwide, royalty-free right to use and exploit that feedback without restriction or compensation.
15. Suspension and Termination
You may stop using the Service at any time.
Elytron may suspend or terminate access to all or part of the Service if we reasonably believe you have violated these Terms, created legal or security risk, failed to pay applicable fees, abused the Service, or if continued provision is no longer commercially or technically practicable.
Sections that by their nature should survive termination will survive, including provisions concerning licenses already granted, derived information, intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous terms.
16. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, USER-ACCESSIBLE DATABASES, PIPELINES, MODELS, THIRD-PARTY CONTENT, AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND.
ELYTRON DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, RELIABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, DATA INTEGRITY, AVAILABILITY, SECURITY, REPRODUCIBILITY, SCIENTIFIC VALIDITY, AND RESULTS.
ELYTRON DOES NOT WARRANT THAT THE SERVICE OR ANY OUTPUT WILL BE ERROR-FREE, COMPLETE, CURRENT, SECURE, UNINTERRUPTED, EXPERIMENTALLY VALIDATED, OR SUITABLE FOR RESEARCH, COMMERCIAL, REGULATORY, LABORATORY, FIELD, OR OTHER USE.
No oral or written information provided by Elytron creates a warranty unless expressly stated in a signed written agreement.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
17. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELYTRON BIOTECH CORPORATION AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, RESEARCH MATERIAL, EXPERIMENTS, PRODUCTIVITY, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Without limiting the foregoing, Elytron will not be liable for losses or damages resulting from:
- inaccurate, incomplete, misleading, hallucinated, or erroneous Outputs;
- false-positive or false-negative biological predictions;
- incorrect gene, protein, pathway, taxonomic, phenotype, resistance, virulence, or functional annotations;
- reliance on an Output in laboratory, field, regulatory, scientific, intellectual-property, investment, manufacturing, product-development, or commercial decisions;
- contamination, failed experiments, lost samples, biological or environmental effects, or biosafety incidents;
- third-party databases, models, publications, software, infrastructure, or services;
- unauthorized access, deletion, corruption, or loss of User Content where liability cannot lawfully be excluded only to the extent required by law; or
- your failure to independently verify an Output or maintain backups.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELYTRON’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ELYTRON FOR THE SERVICE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.
The limitations in this section apply regardless of the theory of liability and even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be limited or excluded.
18. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Elytron and its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
- your User Content;
- your use or misuse of the Service or Outputs;
- your experiments, products, publications, regulatory submissions, commercial activities, or other actions based on the Service;
- your violation of these Terms or the Acceptable Use Policy;
- your violation of applicable law; or
- your infringement or violation of another person’s rights.
This obligation does not apply to the extent a claim results from conduct for which indemnification may not lawfully be required.
19. Privacy
Our collection and use of personal information is described in the ElyChat Privacy Policy.
Sequence data submitted to ElyChat is limited by these Terms to non-human bacterial and fungal data. Account information, communications, device information, and usage information may nevertheless constitute personal information and are handled as described in the Privacy Policy.
20. Electronic Communications
You agree that Elytron may provide notices electronically, including by email, through the Service, or by posting notices on the Service. Transactional and service communications are part of the Service and may not always be optional.
Marketing communications, where used, will be handled in accordance with applicable law and available opt-out mechanisms.
21. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms and revise the “Last Updated” date. Where required by law, we will provide additional notice or obtain renewed consent for material changes.
Your continued use of the Service after an updated version becomes effective constitutes acceptance to the extent permitted by law. If you do not agree to an update, you must stop using the Service.
22. Governing Law
Except where mandatory law provides otherwise, these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles.
23. Binding Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for claims that qualify for small-claims court or requests for temporary or preliminary injunctive relief concerning unauthorized access, misuse, or intellectual property, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration under the Federal Arbitration Act.
Before commencing arbitration, the complaining party must send written notice describing the dispute and requested relief to info@elytronbiotech.com and allow at least 30 days for an informal attempt to resolve the dispute.
If unresolved, arbitration will be administered by the American Arbitration Association under the applicable AAA rules. The arbitration may be conducted remotely unless the arbitrator determines otherwise. Each party may seek remedies available under applicable law, subject to these Terms.
DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND ELYTRON WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION.
You may opt out of this arbitration provision by emailing info@elytronbiotech.com within 30 days after you first accept these Terms, with the subject line “Arbitration Opt-Out,” and including the name and email address associated with your account.
If this arbitration provision is found unenforceable for a particular claim, that claim will be brought exclusively in the state or federal courts located in New Castle County, Delaware, unless applicable law requires otherwise.
Nothing in this section limits rights or remedies that cannot lawfully be waived.
24. Export, Sanctions, and Legal Compliance
You may not use or access the Service in violation of U.S. export-control, sanctions, or other applicable laws. You represent that you are not prohibited from receiving the Service under applicable law.
25. Miscellaneous
These Terms and the documents incorporated by reference constitute the entire agreement governing the standard Service unless you and Elytron have a separate signed agreement that expressly supersedes them.
If a provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.
Failure to enforce a provision is not a waiver. You may not assign these Terms without Elytron’s prior written consent. Elytron may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, corporate restructuring, or by operation of law.
Headings are for convenience only.
